1. Acceptance of Terms

By accessing or using PRFactory ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

The Service is provided by PRFactory (org.nr 556939-4777). Our Data Processing Agreement is part of these Terms, so accepting the Terms accepts it.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Service Description

PRFactory is an AI-powered development workflow automation platform that helps software development teams:

• Analyze and refine requirements in tickets written in PRFactory or imported from an issue tracker
• Generate implementation plans based on codebase analysis
• Optionally generate code implementations
• Create pull requests on Git platforms (GitHub, Bitbucket, Azure DevOps)

The quality and accuracy of AI-generated content may vary.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Multi-Tenant Environment

PRFactory operates as a multi-tenant platform. Each organization ("Tenant") has isolated data and configurations. You agree not to attempt to access other tenants' data or resources.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Generate malicious code, malware, or security exploits
• Attempt to gain unauthorized access to systems or data
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to train competing AI models without permission
• Exceed rate limits or abuse API access
• Share account credentials with unauthorized parties

5. Intellectual Property

5.1 Your Code and Content

You retain all ownership rights to your source code, repositories, and content that you provide to the Service. By using the Service, you grant us a limited license to access and process your content solely for the purpose of providing the Service.

5.2 AI-Generated Content

Code and content generated by the Service's AI features are provided to you for your use. You are responsible for reviewing, testing, and validating all AI-generated code before using it in production. We make no warranties regarding the accuracy, security, or fitness of AI-generated content.

5.3 Service Ownership

The Service, including its user interface, underlying technology, and documentation, is owned by PRFactory and is protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or branding.

6. Payment Terms

6.1 Subscription Plans

The Service may offer various subscription plans with different features and pricing. Current pricing and plan details are available on our pricing page.

6.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your designated payment method for all fees incurred.

6.3 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

6.4 Refunds

Subscription fees are generally non-refundable. However, we may consider refund requests on a case-by-case basis.

7. Termination

7.1 Termination by You

You may terminate your account at any time by contacting us or using the account settings. Termination does not entitle you to a refund of any prepaid fees.

7.2 Termination by Us

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or other reasons at our discretion. We will make reasonable efforts to notify you before termination.

7.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account data after a reasonable retention period. You are responsible for exporting any data you wish to retain before termination.

8. Disclaimers

We specifically disclaim any warranties regarding:

• The accuracy or reliability of AI-generated code or plans
• The security or vulnerability-free nature of generated code
• Compatibility with your specific systems or requirements
• Availability or uptime of the Service
• Third-party integrations and services

9. Limitation of Liability

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless PRFactory and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your use of AI-generated code in production systems

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by Swedish law. Disputes are heard by the Swedish general courts, with Stockholm District Court (Stockholms tingsrätt) as the first instance.
